Abrahams Kaslow & Cassman LLP has represented clients in connection with their development and operation of energy projects, including natural gas combined cycle and utility scale solar electric generation plants, as well as in connection with marketing natural gas, electric power and related commodities. Some of the typical transactions we assist in are:

  • Negotiation of agreements for the engineering, procurement and construction of power plants, gas and water pipelines, electric transmission systems and other supporting plant infrastructure

  • Purchase and sale of gas and steam turbine-generators along with related equipment such as transformers and heat recovery steam generators

  • Purchase of solar panels

  • Negotiation of long term services agreements for the provision of parts and maintenance services for both gas powered and solar electric generation plants

  • Negotiation of operation and maintenance agreements for the daily operation of both gas powered and solar electric generation plants

Recent Transactions

  • Assisted in the development and financing of the Tenaska Imperial Solar Energy Center West, a 150-megawatt (MW) photovoltaic solar electric generating plant, which is currently under construction near El Centro, California. $450 million in commercial financing for the project closed on June 13, 2014, and electricity from the plant has been sold to San Diego Gas & Electric under a 25-year agreement. First Solar, Inc. is the engineering, procurement and construction contractor for Tenaska Imperial West. The facility will use First Solar's advanced thin-film photovoltaic (PV) modules with single-axis tracking to follow the sun for greater power generation.

  • Assisted in the financing and development of the Tenaska Imperial Solar Energy Center South, a 946-acre utility-scale photovoltaic solar generating plant in southern California. Construction was commenced in December of 2011, financing for the plant was closed in April of 2012 and the plant achieved full commercial operation in 2013. About 130 megawatts of electricity from the plant has been sold to San Diego Gas & Electric (SDG&E) under a 25-year agreement.

  • Represented Tenaska Marketing Ventures (TMV) in connection with the renewal of a $1 billion credit facility. The facility is used to finance TMV's natural gas inventory transactions and as liquidity support for TMV's operations. TMV is the natural gas marketing affiliate of Tenaska, one of the nation's largest independent energy companies. BNP Paribas and Société Générale were co-lead arrangers of the facility. A total of 20 lenders participated in the facility.
